CrowdFunding Explosion! Not Just Yet...



 

The SEC has made dramatic headway in terms of its eliminating the rule regarding public announcements ("solicitations") by companies of their intent to raise money through the sale of securities such as stock, bonds or other instruments. That bodes well for the U.S/ capital markets in general, and especially for smaller business, such as start ups, technology ventures and small businesses who wish to become capitalized through an initial public offering ("IPO") or something similar.

By the same token, The SEC now has a firm deadline of mid-October by which it must promulgate its rules and compliance standards for smaller, i.e., crowd funded, public offerings of securities over the internet. These are both great strides.

What troubles my colleagues and myself here at CFI CrowdFunding Incubator LLC is that each state has its own securities governing body, generally under that state's attorney general's office, and each state is within its constitutional rights (assuming that the Constitution is still considered relevant by someone in issuing its own individual laws and guidelines with respect to offerings of securities within its jurisdiction.

These "Blue Sky" - like laws will undoubtedly come cropping up like crabgrass in springtime as soon as the October announcements are made by the Securities And Exchange Commission.

I strongly believe that each state's attorney general will want to have his or her respective say about its own "supplemental compliance rulings" to the JOBS Act. And because of this, interstate offerings, multi-state offerings and national offerings may require compliance with multiple sets of rules, which could be quite expensive (in terms of legal bills), and could make the SEC's rules almost irrelevant. There could even be some interesting legal challenges.

Yes. We are making great strides within the US with respect to crowdfunded online offerings.

But the issue that remains is: What will the states, each respectively, do, in terms of helping with the process, or hindering it. Those of us at The CFI Group Of Companies want to see legislation infused with the original spirit of the JOBS Act -- but whether or not the states' attorney generals will agree is a story yet to be told.

American Hero: Actor Gary Sinise





Some of us spend our lives in search of meaning. Some of us are, it is said, born great. But the word's greatest activists, organizers and leaders are those remarkable individuals who, through circumstances beyond their control or even initial awareness, rose to greatness out of empathy, a feeling of personal responsibility and a need to do "what was necessary."

Gary Sinise is a humble, serious actor whose role in a film, and whose subsequent visit to a veterans hospital moved him to the extent that he knew, in a moment of introspective clarity, that his life had a greater meaning, and that he had a greater role to play than in any film or television series. There is some footage of him in a televised interview at the end of this article

He has become a champion of veterans issues, wounded veterans, and giving aid, assistance and emotional support to those returning soldiers who have returned with scars and injuries, both external and internal. His greatest attribute as a champion, a leader, and a public personality, is his complete unhesitating willingness to lead by example. To show, by his own acts and deeds, that his cause is indeed a worthy one.

Before I forget, you might want to look up "The Wounded Warrior Project" at CrowdFunding Incubator (under Humanities and Charities), and give some money to that charity today. If the government is not going to do it, and if Gary Sinise, as a one-person army can't do it, we must give -- generously.

It's more than charity -- it is an investment in the present and future of Humanity. It is an act of compassion for young people whose lives need to be mended. It is a show of true American spirit. It is one more reason to know that you are a good person, and not another apathetic whiner who is part of the problem instead of being a part of the solution.

Do it. Do it now. Do it for those injured heroes. But most of all, do it to lessen the debt owned by you to your own conscience. Find it at CFI's CrowdFunding Incubator Site.

Gary is a great man. I wish that I could personally shake his hand. Perhaps some day I'll get that opportunity. But for today, right now, in this moment, I will give my support to him and to those about whom he cares so passionately.
