CrowdFunding Explosion! Not Just Yet...

The SEC has made dramatic headway in terms of its eliminating the rule regarding public announcements ("solicitations") by companies of their intent to raise money through the sale of securities such as stock, bonds or other instruments. That bodes well for the U.S/ capital markets in general, and especially for smaller business, such as start ups, technology ventures and small businesses who wish to become capitalized through an initial public offering ("IPO") or something similar.

By the same token, The SEC now has a firm deadline of mid-October by which it must promulgate its rules and compliance standards for smaller, i.e., crowd funded, public offerings of securities over the internet. These are both great strides.

What troubles my colleagues and myself here at CFI CrowdFunding Incubator LLC is that each state has its own securities governing body, generally under that state's attorney general's office, and each state is within its constitutional rights (assuming that the Constitution is still considered relevant by someone in issuing its own individual laws and guidelines with respect to offerings of securities within its jurisdiction.

These "Blue Sky" - like laws will undoubtedly come cropping up like crabgrass in springtime as soon as the October announcements are made by the Securities And Exchange Commission.

An article from a CBS newsbrief follows to shed some further light on the issue:

For crowdfunding, the revolution will be localized

Despite hoopla over the JOBS Act, few believe that national crowdfunding is set to take off -- and states aren't waiting around to find out
For crowdfunding, the revolution will be localized

---------------

I strongly believe that each state's attorney general will want to have his or her respective say about its own "supplemental compliance rulings" to the JOBS Act. And because of this, interstate offerings, multi-state offerings and national offerings may require compliance with multiple sets of rules, which could be quite expensive (in terms of legal bills), and could make the SEC's rules almost irrelevant. There could even be some interesting legal challenges.

Yes. We are making great strides within the US with respect to crowdfunded online offerings.

But the issue that remains is: What will the states, each respectively, do, in terms of helping with the process, or hindering it. Those of us at The CFI Group Of Companies want to see legislation infused with the original spirit of the JOBS Act -- but whether or not the states' attorney generals will agree is a story yet to be told.

We will be keeping you up to date.

CrowdFund Your Project Or Your Dream - We're Newer, But Better

Everybody is talking about crowdfunding. At CFI (http://www.GoToCFI.com), we're newer but quite a bit better. We don't put the proverbial pistol to your head and have you sweat until the timer goes off and you've either raised all of your funds (you'll live) or you've fallen even a penny short of your stated funding objective (in which case you have a brief headache before everything goes dark). Our philosophy is a bit different. How? [you ask] Well, here:

1) We allow you to extend your fundraising deadline;

2) We allow you to fund a project in phases or installments:

3) We allow you to draw down funds while you are in the fundraising process -- no one else is doing this -- We suppose that they must enjoy the suspense;

4) We give you free publicity... a national press release, a social media TwitterBurst (sounds a bit foolish, doesn't it, but appearances can be deceiving), where we put your link out to approximately 500,000 Twitter followers and across other social media;

5) We work with you through every step of actually designing your campaign and decorating your pavilion on our website, where you will be hospitably hosted (alliteration!);

6) We help you to create double contributor incentives -- something of significant perceived value to offer your contributors right now, so they will feel that they have already "broken even" or gotten darn near it -- and a success-based incentive for after you've commenced your operations. Contributors will not be running up the mountain with lit torches demanding their contributions back. Nope;

7) We offer you a treasure trove (now there's an expression for Baby Boomers) of resources, many of which are absolutely free, in order to help you with planning, presentation, advice, assistance, joint venturing, additional non-bank alternative financing to supplement your crowdfunding proceeds so that you can pay vendors, staff up, fulfill purchase orders and grow sales if you are for-profit, or grow donations, if you are a not-for-profit entity.

CrowdFund your project, venture, business or non-profit on CFI’s innovative new website platform! We’ll help you to organize, capitalize, build and grow. We’ll post Projects (we call every exhibit on our website a “Project”) requiring capitalization of $5,000.00 (and up), and we’ll accept individual contributions of funds for Projects as small as $10.00. CrowdFunding gives you a means of raising capital without giving away equity or incurring any debt -- it’s a fabulous internet power tool. And the fee which we charge is only 5% (five percent) of the funds actually contributed to (i.e., raised for) your Project. Can’t beat it!

CrowdFunding (you can Google it if you still want to get more background in general --- we’ll wait for you...) is a means by which you (the “Project Sponsor”) attract contributors of funds (“Contributors”) to your Project using a special display created just for you (called a “Pavilion”) hosted on our website (sometimes called a “crowdfunding portal”).

And yes, we’ll help you design your Pavilion to maximize your monetary magnetism and Contributor appeal. But we’ll expect you to be actively involved with us in the attraction of Contributors to your Pavilion. A campaign can only be successful if our Client is very actively engaged in making it happen.

By the way, “CFI” stands for CrowdFunding Incubator LLC. We work very closely with selected Project Sponsors (although we prefer to call them “Clients”) on developing, executing and completing successful crowdfunding campaigns. You can visit our website by clicking on http://www.GoToCFI.com to learn a bit more about us.

Submission of your Project to CFI is fully automated.

When you’re ready to get started (after you’ve read through this document) all you have to do is:

1) Click on http://www.GoToCFI.com ;

2) Go to the large button in the upper right-hand corner of the page header (which says “CLICK HERE TO FAST TRACK YOUR CROWDFUNDING PROJECT”), and click on it;

3) A Submission Form will magically appear. Follow the directions, fill out the required fields and when you’re finished, simply click on the “SUBMIT” button. CFI will get back to you within 3 business days with an evaluation of your submission, and that will contain suggestions (no charge for this) for what you might do to make your Pavilion and campaign faster and more likely to be completely successful.

That’s all it takes to get started - it’s your move.

-----

CFI will entertain start ups, early-stage entrepreneurial ventures, small businesses and not-for-profit humanitarian and charitable cause-based entities. Our unique program, unlike any other in the industry even provides for financing in stages or phases, where you can draw down funds continuously as they are being raised.

CFI has an unparalleled portfolio of resources, advice and tools to expedite your funding and growth, while virtually eliminating any element of possible risk to you and minimizing any time which you’d normally have to waste on  trial and error.

We interact to assist our Clients at every phase -- from planning to marketing, from management and co-venturing to production and sales financing.  There are no application fees and -- we are mobile accessible, too. Since we’re newer, we’ll work harder.

Use CFI to meet your capitalization needs, and get unlimited access to free business-building tools in the bargain. After you’ve filled out and submitted your form, take some time to test drive the site. Press some buttons. Read some material. Make yourself at home and play.

Once we’ve gotten back to you regarding your Project and discussed our special improvements with you. We’ll help guide you to implement them. Very soon after that, you’ll have your own Pavilion. That’s when our combined all-out effort just gets started.

Continue to the next page to see what we expect of you. You’ve got to be very proactive. We’ll host you, help you, advise you, manage your Pavilion...we’ll give you a free nationwide NEWS RELEASE too. But...

To be a real winner and have your CFI CrowdFunding Campaign be a stunning success, you’ve got to really become involved. Believe us -- it’s very worthwhile in the end. Here’s your portion of the homework:

Crucial Steps For CrowdFunding Success

ALERT TO PROJECT SUBMITTERS: You must be proactive, aggressive and persistent in order to make your project a success. Bringing prospective contributors to your project on our website is your responsibility. Here are some guidelines. If your follow them, you will greatly increase your ability to reach your funding objective -- In fact, you MUST follow them!

1) From the minute your Pavilion is up on our website, you should alert every individual on your email list (including family, friends, colleagues, vendors, possible customers), your social media groups (Facebook, LinkedIn, Twitter) and any networking organizations which you belong to of the fact that you’ve A) launched a project; B) its address on our website; and that C) you are counting on them to participate [contribute] and encourage their friends to participate and contribute. Be polite, but persistent. Do this procedure at least weekly. Mail, post, announce, remind, and give updates if you have any.

2) You must, through any means possible, have at least a contribution of $25.00 per day every single day on your project. Show momentum and progress.

3) You must, through any means possible be certain to get at least 100 clicks (usually from friends, family, team members, etc. on your pavilion (through any legal means necessary) every single day through your own referred sources and efforts. You might even get everyone you know involved in a Clickfest to your pavillion -- where each person in your group promises to view the site for at least a full minute X times per day. These are very, very effective. Make them go viral. Make them into competitive games. But make them work. They are easy.

4)  As a general rule, if a project campaign has not raised at least one third (33%) of its funding objective within 45 days of its posting, it is likely to fail. Aim for at least a full third of your funding
during your first 45 days, and your chances of complete success are tremendous. And more and more unique and unknown “drop-in” visitors to your site [strangers!] with start to become
additional contributors as you project develops its own aura of attraction.

-- Your Friends At CFI Want You To Win!

At CFI, our team is completely committed to your success. We have tremendous resources, which we’ll make available to you. When your dedicated efforts and our vast array of money magnetization tools (not to mention our own flood of inbound website traffic, which grows bigger every single day) are combined, we have synergy, harmony and victory! Get started now.

Yes, we are relatively new. But we are much more supportive, resourceful, patient and involved than are the other crowdfunding websites, platforms and portals. Go To CFI and submit your project. We'll absolutely get back to you with our assessment (that's free, but tremendously valuable), and help you to MAKE IT WORK.
